- Third-Party Materials – External software or resources incorporated where required.
Provision of Services
Services are performed according to the milestones and scope defined in the Agreement. We apply reasonable professional care and operational standards in delivering services.
Project timelines depend on timely cooperation, approvals, and provision of necessary materials by the client.
Proposals and Scope Validity
Service proposals remain valid for thirty (30) days unless otherwise specified. After that period, they may be revised.
Any work outside the agreed scope must be confirmed in writing before proceeding.
Fees, Expenses, and Taxes
Unless otherwise agreed:
- Third-party costs are billed separately
- Approved expenses may be invoiced at cost
- Clients are responsible for applicable taxes associated with the services
Payment Terms
Invoices must be paid within five (5) days unless a different arrangement has been agreed in writing. Payments may follow milestone-based schedules.
Late payments may affect delivery timelines.
Scope Modifications
All requests for changes must be submitted in writing.
Minor adjustments that do not significantly affect project pricing or delivery schedules may be implemented without formal contract amendment. Major changes require a revised or supplemental Agreement.
Revised proposals should be accepted within fourteen (14) working days.
Delays and Force Majeure
If delays occur due to missing client input, approvals, or materials, project timelines will be extended accordingly.
Events beyond reasonable operational control may also result in adjusted timelines without constituting breach.
Review and Acceptance
Deliverables are internally reviewed before submission.
Clients have seven (7) working days to review completed work and request revisions within scope. If no feedback is received, deliverables may be considered accepted.
Client Responsibilities
Clients agree to:
- Provide accurate and lawful materials
- Ensure supplied content does not infringe third-party rights
- Provide timely approvals and responses
- Review deliverables for accuracy
Unless otherwise agreed, final verification remains the client’s responsibility.
Attribution and Portfolio Reference
bot-ukraine.com may reference completed projects in its portfolio or internal materials unless otherwise agreed in writing.
Confidential Information
Both parties agree to protect confidential information shared during the engagement.
This obligation does not apply to information that is publicly available or lawfully obtained from independent sources.
Independent Contractor Relationship
bot-ukraine.com operates as an independent service provider. Nothing in these Terms creates employment, partnership, or joint ownership.
Subcontractors may be engaged where appropriate while maintaining responsibility for service delivery.
Limitation of Liability
To the extent permitted by applicable law, services are provided without guarantees beyond those expressly agreed. Liability is limited to the amount paid for the services related to the claim.
Ownership and Usage Rights
Upon full payment, the client receives a non-exclusive, perpetual license to use the final deliverables as agreed.
All Company Tools and internal systems remain the property of bot-ukraine.com unless transferred in writing.
Support Services
Additional support services are provided only if separately agreed. Such services may be billed independently. Any warranty may not apply if deliverables are modified without authorization.
Updates to These Terms
We may update these Terms periodically. The version published on bot-ukraine.com at the time of use applies. Continued use of the website indicates acceptance of any revisions.
